End User License Agreement

PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE USING THIS SOFTWARE

1. License
By installing and/or using this DirAG SoftLab software (the "Software"), you accept and agree to be bound by the following User Agreement. Subject to the terms of this Agreement, DirAG SoftLab grants to you a limited, non-exclusive, non-transferable license, without right to sub-license, to use or evaluate this Software in accordance with this Agreement. DirAG SoftLab does not transfer title to this Software to you; the license granted to you is not a sale. This Agreement is a binding legal agreement between DirAG SoftLab and the purchasers, users or evaluators of this Software. If you do not agree to be bound by this Agreement, do not install or use the Software.

2. Distribution
Unless otherwise authorized herein, this Software and the license herein granted shall not be copied, shared, distributed, re-sold, offered for re-sale, transferred or sub-licensed in whole or in part except that you may make one copy for archive purposes only.

3. User Agreement

3.1 Evaluation Version use
You may evaluate this Software without purchasing a license (the "Evaluation Version") for a maximum of thirty (30) calendar days (the "Evaluation Period"). On or before the expiration of the Evaluation Period, you must purchase a license from DirAG SoftLab in order to continue to use the Software, or you are required to remove this Software and any archived copy from your computer immediately following the expiration of the Evaluation Period. 3.2 Distribution
The Evaluation Version of the Software may be freely distributed, provided that:
1. Such distribution includes only the original installation package supplied by DirAG SoftLab. You may not alter, delete or add any files in the installation package or modify the Software in any way.
2. The limited evaluation nature of this Evaluation Version Software is not misrepresented.
3. No money is charged to the person receiving this Evaluation Version Software, beyond reasonable cost of packaging and other overhead.

3.3 Use
Your license to use this Software is limited to the number of licenses purchased by you. You shall not allow others to use, copy or evaluate copies of this Software.

3.4 Portable Computer Use
If you have purchased a license to use this Software and installed it on your desktop computer, you may install a second copy of this Software on your portable computer for your exclusive use only.

3.5 Use Restrictions
You shall use this Software in compliance with all applicable laws and not for any unlawful purpose.

Each licensed copy of this Software may be used on one single computer location or workstation. "Use" of the Software means that you have loaded, installed, or run the Software on a computer or similar device. If you install the Software onto a multi-user platform, server or network, each and every individual user of the Software must be licensed separately or included by a multi-site license. You may make one copy of this Software for backup purposes, providing you only have one copy installed on one computer location or workstation (or number of users covered in a multi site license). Others may not use or install your copy of this Software. It is a violation of this Agreement to assign, sell, share, loan, rent, lease, borrow, network or transfer the use of this Software.

3.6 Copyright Restriction
You shall not, and shall not attempt to, modify, reverse engineer, disassemble or decompile this Software. Nor can you create any derivative works or other works that are based upon or derived from the Software in whole or in part.
All title, including but not limited to copyrights, in and to the Software and any copies thereof are owned by DirAG SoftLab or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the Software is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This Agreement grants you no rights to use such content. All rights not expressly granted hereunder are reserved by DirAG SoftLab.

3.7 Limitation of Responsibility
In no event shall DirAG SoftLab be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of use of or inability to use the Software, even if DirAG SoftLab has been advised of the possibility of such damages. In no event will DirAG SoftLab be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. DirAG SoftLab shall have no liability with respect to the content of the Software or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information.

3.8 Warranties
DirAG SoftLab expressly disclaims any warranty for the Software. The Software is provided "As Is" without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, noninfringement, or fitness of a particular purpose. DirAG SoftLab does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within or accessed through use of the Software. DirAG SoftLab makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program.

3.9 Termination
Any failure to comply with the terms and conditions of this Agreement will result in automatic and immediate termination of this license. Upon termination of this license granted herein for any reason, you agree to immediately cease use of the Software and destroy all copies of the Software supplied under this Agreement. The financial obligations incurred by you shall survive the expiration or termination of this license.

4. Consent to Use of Data
You agree that DirAG SoftLab may collect and use information gathered in any manner as part of the product support services provided to you, if any, related to the Software.
The Software contains components that enable and facilitate the use of certain Internet-based services. You acknowledge and agree that DirAG SoftLab may automatically check the version of the Software that you are utilizing and may provide upgrades or fixes to the Software.

5. Specific Provisions
The Software may rely upon or facilitate your access to websites maintained by DirAG SoftLab or its affiliates or third parties offering information, software and services ("Online Services"). Your access to and use of Online Services is governed by the terms, conditions, disclaimers and notices found on such site or otherwise associated with such services. DirAG SoftLab may at any time, for any reason, modify or discontinue the availability of any Online Services. DirAG SoftLab does not control, endorse or accept responsibility for Online Services offered by third parties. Your use of Online Services is at your own risk under the warranty and liability limitations of this Agreement.
